A local company is used by investors wanting to operate a business or had an interest in property or other companies in Vanuatu. It has similar characteristics to limited liability companies in most countries around the world.



A Vanuatu local company, which takes approximately one to two weeks to incorporate, has the following features:
  • Is permitted to do business in Vanuatu and / or hold a land lease;
  • A minimum of one director is required and a director must be a natural person;
  • There is no minimum capital requirement (other than one shareholder / issued share);
  • A minimum of one shareholder is required (we can arrange a nominee shareholder, if required);
  • The annual government fee is VT30,000 p.a;
  • An annual return, which details a company's director(s) and shareholder(s) must be filed to the Vanuatu Financial Services Commission and is a matter of public record;
  • There is a requirement to hold one Annual General Meeting in Vanuatu each year; and
  • An annual audit is only required if the company's annual turnover exceeds VT50,000,000 p.a.

  • with copy(ies) of the passport(s) of the beneficial owner(s) and authorised representative(s) (if applicable).
    Where a shareholder is a company, a copy of the company's Certificate of Incorporation and Registers (giving details of its officers and shareholders) are required.
